Incorporating a company is a straight-forward process in Singapore, thanks to the government’s business-friendly policies, and can be completed as quickly as within a few hours. Singapore Company Registration specialist, BizCorp Management, tells us how.

Before you register a company, there are several basic requirements that must be fulfilled, specifically a company name, a paid-up capital of S$1, a local registered address, a company secretary, and at least 1 director and 1 shareholder. Both the company secretary and director must be Singapore residents, defined as a Singapore citizen, permanent resident or someone with an Employment Pass, EntrePass or Dependant Pass.

The following documents/information must then be prepared before the company incorporation process:
- Company name
- Description of business activites
- Local registered address
- Memorandum and Articles of Association
- Directors information
- Shareholders information
- Company Secretary information

The company registration agent will also collect a copy of your NRIC for Singapore residents. Non-residents will have to provide a copy of their passport, proof of overseas address and bank reference letter.

There are 2 distinct steps in the company incorporation process. The first is to register a company name with ACRA, which is done online and the results will be made known within an hour. The second step is the company registration itself, whereby the entire incorporation request to approval by ACRA can be completed as quickly as within a few hours.

Once approved, ACRA will send an email confirming the incorporation of your company. The Certificate of Incorporation, in softcopy, contains your company registration number and is considered the official certificate. You can also request for a Company Particulars Extracts, which confirms the business particulars of your company and is used for contracts, etc.

Other things you may want to do post-registration are issue certificates to your shareholders, apply for a business license where applicable, create your rubber stamp and open a corporate bank account. For more details, visit the Company Registration Guide 2010.
